Position: Mid-Level Associate


Description: This position will advise participants in the financial services industry, including investment advisers to hedge funds, other private funds, mutual funds and other '40 Act registered funds on regulatory, transactional and counseling matters involving the securities and commodities laws.

Principal Responsibilities:

  • Provide services to leading hedge funds, mutual funds, and other pooled investment vehicles as well as to investment advisers and broker-dealers.
  • Help clients launch new funds and assist them in their capital-raising efforts.
  • Advise on current and impending market developments that could affect funds, and counsel on applicable laws, rules and regulations.
  • Advise institutional investors concerning potential allocations to alternative investment vehicles and in connection with their engagement of investment advisers.
  • Preparation of investment management agreements.
  • Negotiate prime brokerage, administration, custodian, and other third-party service provider agreements.
  • Strong knowledge of compliance rules and regulations of SEC, FINRA, CFTC and other regulatory agencies.
  • Experience with the Investment Company Act of 1940 is a plus.

  • Qualifications:

  • JD or foreign equivalent with LLM and be admitted to a state bar.
  • Three to five years of legal experience in financial services industry (hedge fund, mutual fund or asset management experience preferred).
  • Must have excellent research and drafting skills.
  • Much have good attention to detail with strong organizational skills.
  • Must have excellent oral and written communication skills.
  • Strong PC skills in Microsoft Word, Excel, Outlook. Familiarity with Diligent software a plus.

    Position: '40 Act Paralegal


    Description: This position will assist the firm's attorneys with various projects and legal matters related to mutual funds, closed-end funds, hedge funds and investment advisers.

    Principal Responsibilities:

  • Assists with registration and ongoing legal support of mutual funds and closed-end funds.
  • Prepares and/or files regulatory forms, reports and registration statement amendments (Forms N-1A, N-2).
  • Assists with the formation and ongoing legal support of private investment funds, including hedge funds.
  • Coordinates and plans fund board meetings, shareholder meetings and the preparation and delivery of board materials and proxy materials.
  • Drafts and reviews legal documents, including Form ADV and compliance policies and procedures.
  • Assists with various projects and legal issues related to the '40 Act and the Advisers Act.
  • Conducts legal research on a variety of topics.
  • Handles administrative support functions including but not limited to: editing/revising documents, photocopying, faxing, ordering supplies, and scheduling meetings.
  • Maintains file management and document control, including resource material, directories, reference guides, contract review.
  • Performs related duties as assigned.
  • Qualifications:

  • Bachelor's degree preferred.
  • At least 3 years of paralegal experience in a financial services organization or law firm doing '40 Act and/or Advisers Act work.
  • Must have excellent research and drafting skills.
  • Must have good attention to detail with strong organizational skills.
  • Must have excellent oral and written communication skills.
  • Strong PC skills in Microsoft Word, Excel, Outlook. Familiarity with Diligent software a plus.
