John Araneo

John Araneo (Of Counsel) John focuses his practice in the investment management industry and regularly advises his clients on a wide range of legal issues involving the formation, capitalization, operation, compliance and succession of pooled investment vehicles. John serves as the primary legal adviser and general counsel to many clients and, in this capacity, has worked on several significant corporate transactions and securities offerings, as well as complex litigation, employment and other legal matters.

Mr. Araneo’s practice involves drafting, reviewing and negotiating a myriad of legal documents including: offering, marketing and compliance documents for investment advisers, private funds and other investment vehicles; investment management, sub-advisory and managed account agreements; partnership, operating and shareholder agreements; employment, separation and related agreements; various corporate transactional documents; and a wide variety of commercial contracts (license, joint venture, service, consulting and other similar agreements and related documents).

Prior to joining Cole-Frieman and Mallon, Mr. Araneo began his legal career at one of the nation’s most prestigious labor and employment law firms. He transitioned into the area of corporate and securities law and worked as the General Counsel for a financial services technology firm and its affiliated broker dealer. John continued his career at several boutique and mid-sized law firms, including his own practice.
